1. Acceptance of Terms

Welcome to Vremco LLC (“Vremco,” “we,” “us,” or “our”). By accessing or using our website at https://vrem.co/ (the “Site”), our property management services, or any related services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our Services.

3. Description of Services

Vremco provides virtual property management services to property owners and landlords, including but not limited to:

  • Property management and maintenance coordination
  • Rent collection and financial reporting
  • Tenant screening and lease management
  • Move-in and move-out coordination
  • Tenant communication management
  • Eviction management services
  • Property inspection coordination
  • Leasing and property sales services
  • 24/7 maintenance call center support

4. SMS/Text Messaging Terms and Consent

4.1 Program Description

By providing your mobile phone number and opting in to receive SMS/text messages from Vremco, you consent to receive informational, transactional, and marketing text messages from us. Messages may include but are not limited to:

  • Property updates and notifications
  • Maintenance requests and updates
  • Payment reminders and confirmations
  • Lease renewal notices
  • Appointment confirmations
  • Marketing and promotional messages
  • Service announcements

4.2 Consent Requirements

  • Opt-In: By checking the consent box on our forms or texting a keyword to our number, you expressly consent to receive automated text messages from Vremco at the mobile number provided.
  • Not a Condition: Consent to receive SMS messages is not a condition of purchase or use of our services.
  • Message Frequency: Message frequency varies based on your account activity and service needs. You may receive multiple messages per week.
  • Carrier Charges: Message and data rates may apply. Check with your mobile carrier for details on your plan.

4.3 Opt-Out Instructions

You may opt out of receiving text messages at any time by:

  • Replying “STOP” to any message you receive from us

After opting out, you will receive one final confirmation message. You may continue to receive transactional messages related to your active service agreements.

4.5 Supported Carriers

Our SMS service is supported by all major U.S. carriers, including AT&T, T-Mobile, Verizon, Sprint, and others. We cannot guarantee message delivery on all carriers.

5. User Accounts and Eligibility

5.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

5.2 Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

5.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

6. Property Owner/Landlord Responsibilities

As a property owner or landlord using our Services, you agree to:

  • Provide accurate information about your properties
  • Maintain your properties in compliance with all applicable laws and regulations
  • Respond promptly to requests for approvals or decisions
  • Pay all fees and charges in accordance with your service agreement
  • Comply with fair housing laws and regulations
  • Provide necessary documentation and disclosures as required by law

7. Fees and Payment

7.1 Service Fees

Service fees are outlined in your selected management plan:

  • Basic Plan: $57 per door/month (1-10 properties)
  • Gold Plan: $47 per door/month (10+ properties)
  • Multi-Unit Plan: $37 per door/month (10-100 units, one location)

Additional fees may apply for:

  • Setup fee: $99
  • Lease renewals: $200 flat rate
  • Eviction protection plan: Starting at $20/month (optional)
  • Leasing services: As quoted separately
  • Property inspections: As quoted separately

7.2 Payment Terms

  • Fees are deducted from collected rents before disbursement to property owners
  • All fees are non-refundable unless otherwise specified in writing
  • We reserve the right to modify fees with 30 days’ written notice

8. Service Areas

We currently provide services in the Greater Houston Area, including:

  • Harris County
  • Fort Bend County
  • Montgomery County
  • Brazoria County
  • Liberty County
  • Galveston County

Service availability in specific cities and areas may vary. Please contact us to confirm service availability for your property location.

9. Intellectual Property

9.1 Ownership

All content on the Site, including but not limited to text, graphics, logos, images, software, and other materials, is the property of Vremco or its licensors and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Site and Services for their intended purposes. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

10. Prohibited Uses

You agree not to use the Site or Services to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit any harmful, offensive, or illegal content
  • Interfere with or disrupt the operation of the Site or Services
  • Attempt to gain unauthorized access to our systems
  • Use automated systems to access the Site without our permission
  • Harass, threaten, or harm others
  • Impersonate any person or entity

11. Third-Party Services and Links

12. Disclaimers and Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VREMCO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Services
  • Any bugs, viruses, or malware transmitted through the Services by any third party
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Services

IN NO EVENT SHALL VREMCO’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO VREMCO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

13. Indemnification

You agree to defend, indemnify, and hold harmless Vremco, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable laws or regulations

14. Termination

14.1 Termination by You

You may terminate your account and discontinue use of the Services at any time by providing written notice to us at support@vrem.co. Termination terms are subject to your service agreement.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, for any reason, including if we believe you have violated these Terms.

14.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

15.2 Venue

Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of such courts.

15.3 Dispute Resolution

Before filing any lawsuit, you agree to first contact us at support@vrem.co to attempt to resolve any dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue formal legal action.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Site with a new “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any service agreements you enter into with us, constitute the entire agreement between you and Vremco regarding the use of the Services.
